Welcome to UNIQCO Technologies ("UNIQCO", "we", "us", or "our"). By accessing or using the UNIQCO Platform, including all related software, services, and documentation (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, please do not access or use the Services. We may update these Terms from time to time, and we will provide notice of material changes. Your continued use after notice constitutes acceptance of the updated Terms.
Subject to these Terms, UNIQCO grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not sublicense, sell, resell, transfer, assign, or commercially exploit the Services without our express written consent.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
When you use our Services to process personal data, you act as the data controller and UNIQCO acts as the data processor. We will process personal data only on your instructions and in accordance with our Data Processing Agreement ("DPA"), which is incorporated into these Terms by reference.
You represent and warrant that you have obtained all necessary consents and have the legal authority to provide personal data to UNIQCO for processing. We implement appropriate technical and organizational measures to protect personal data.
You agree not to use the Services to:
The Services, including all software, content, and technology, are owned by UNIQCO or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license expressly set forth herein.
You retain all rights to data you submit to the Services ("Customer Data"). You grant UNIQCO a limited license to use, store, and process Customer Data solely to provide and improve the Services. UNIQCO will not use Customer Data to train general-purpose AI models without your explicit written consent.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNIQCO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL UNIQCO'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO UNIQCO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.
